These terms and conditions (the "Agreement") govern the use of digital marketing, eCommerce development, website design, website audit, and SEO and other services (the "Services") provided by BIZ VISTA (the "Company/Agency") to its clients (the "Client"). By using the Services, the Client agrees to be bound by this Agreement.

Scope of Services: The Agency shall provide the Services as outlined in the proposal or statement of work agreed upon by both parties. The Agency shall use reasonable efforts to complete the Services in a timely and professional manner. The Client acknowledges that the success of the Services is dependent on various factors, including but not limited to, the Client's cooperation, availability, and timely provision of necessary information and resources.

Payment:  The Client shall pay the Agency the fees set forth in the proposal or statement of work for the Services rendered. 

Intellectual Property:  All intellectual property created by the Agency in the course of providing the Services shall be owned by the Client upon full payment of all fees due to the Agency. The Agency grants the Client a non-exclusive, royalty-free, and worldwide license to use such intellectual property solely for the purposes of the Services.

Confidentiality: The Agency shall not disclose any confidential information of the Client to any third party without the Client's prior written consent. The Client acknowledges that the Agency may use third-party contractors to provide the Services and that such contractors may have access to confidential information. The Agency shall require such contractors to maintain the confidentiality of such information.

Limitation of Liability: The Agency shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Services. The Agency's liability for any direct damages shall be limited to the total fees paid by the Client for the Services.

Termination: Either party may terminate this Agreement upon written notice to the other party. Upon termination, the Client shall pay the Agency for all Services rendered up to the termination date.

 

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of NSW, AUSTRALIA, without giving effect to any choice of law or conflict of law provisions.

 

Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral, relating to the subject matter of this Agreement.

Amendments: The company reserves the right to change the terms of service online at any time, without prior notice to its users.

 

Disclaimer: Our company does not offer services to businesses engaged in activities such as Gambling, Casinos, Counterfeit goods, Betting, Forex, Deceptive practices, Unapproved pharmaceuticals, Inappropriate content, Dangerous products or services, Financial loan companies, and other similar industries.
